1. Introduction

Welcome to Vestrend. These Terms and Conditions (“Terms”) govern your access to and use of the Vestrend platform, including our website, mobile applications, and any related services provided through them (collectively, the “Platform”).

By creating an account, accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must not access or use the Platform.

Vestrend is a digital marketplace that connects independent sellers with consumers by providing an online platform through which sellers can display, promote, and sell their products. Vestrend facilitates product discovery, order placement, and communication between the relevant parties but, unless expressly stated otherwise, is not the owner, manufacturer, importer, distributor, or retailer of the products offered for sale on the Platform.

To facilitate order fulfillment, Vestrend may integrate with one or more third-party Delivery Partners. Orders placed through the Platform may be electronically transmitted to the relevant Delivery Partner to support the delivery process. The Delivery Partner is responsible for the physical transportation and delivery of Orders in accordance with its own operational procedures and terms.

These Terms apply to every person or entity accessing or using the Platform, whether as a visitor, consumer, registered seller, or any other type of user.

Vestrend reserves the right to modify, update, or replace these Terms at any time. Any changes will become effective upon publication on the Platform unless otherwise stated. Continued use of the Platform after such modifications constitutes acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings set out below:

Platform:

The Vestrend digital marketplace, founded in 2025, including its website, mobile applications for Android and iOS, administrative dashboards, and all related services provided by Vestrend.

Vestrend:

The company that owns, operates, and manages the Platform and provides the services described in these Terms.

User:

Any individual or legal entity that accesses or uses the Platform, including consumers, sellers, visitors, and account holders.

Consumer:

A User who browses, purchases, or intends to purchase products through the Platform for personal or lawful purposes.

Seller:

A business or individual authorized by Vestrend to list, advertise, and sell products through the Platform.

Account:

A registered profile created by a User to access certain features and services available on the Platform.

Product:

Any item, good, or merchandise listed for sale by a Seller through the Platform.

Order:

A purchase request submitted by a Consumer for one or more Products offered by a Seller through the Platform.

Delivery Partner:

A third-party logistics company responsible for collecting, transporting, and delivering Orders to Consumers. Vestrend may work with one or more Delivery Partners over time.

Services:

The digital services provided by Vestrend, including but not limited to product listings, search functionality, account management, order transmission, seller management tools, and other marketplace-related features.

Content:

Any text, photographs, videos, graphics, trademarks, logos, product descriptions, reviews, ratings, software, or other materials displayed, uploaded, or made available through the Platform.

Business Day:

Any day other than Friday, Saturday, or an official public holiday in the People's Democratic Republic of Algeria.

3. About Vestrend

Vestrend is an online marketplace designed to connect independent sellers with consumers through a centralized digital platform accessible via the web and mobile applications.

The Platform enables Sellers to create and manage product listings, receive purchase orders, and monitor the fulfillment of those orders. Consumers may browse available products, place orders, and track the progress of their purchases through the Platform.

Vestrend acts solely as an intermediary technology provider. Unless expressly stated otherwise, Vestrend does not manufacture, own, stock, inspect, distribute, or sell the products listed on the Platform. All products are offered directly by independent Sellers, who remain solely responsible for the accuracy of their listings, product quality, pricing, legality, warranties, and compliance with applicable laws.

At the time these Terms become effective, Maystro Delivery is the primary Delivery Partner integrated with the Platform. Vestrend reserves the right to add, remove, or replace Delivery Partners at its sole discretion without requiring amendments to these Terms.

Vestrend continuously develops and improves its services and therefore reserves the right to modify, suspend, discontinue, or introduce new features, functionalities, or services at any time, with or without prior notice, where permitted by applicable law.

4. Eligibility

4.1 General Eligibility

Access to and use of the Platform is available only to individuals and legal entities capable of entering into legally binding agreements under the laws of the People's Democratic Republic of Algeria.

By using the Platform, you represent and warrant that:

• You have the legal capacity to enter into binding agreements.
• The information you provide is accurate, complete, and up to date.
• Your use of the Platform complies with these Terms and all applicable laws and regulations.

If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

4.2 Minimum Age

Consumers must be at least eighteen (19) years of age to create an account and place orders independently through the Platform.

If you are under the age of eighteen (19), you may only use the Platform under the supervision and responsibility of a parent or legal guardian who agrees to be bound by these Terms.

Vestrend reserves the right to request proof of age where reasonably necessary.

4.3 Seller Eligibility

To register as a Seller, you must satisfy any verification requirements established by Vestrend, which may include providing:

• Valid identification documents;
• Business registration information, where applicable;
• Contact information;
• Any additional information reasonably required for verification or compliance purposes.

Approval as a Seller remains at the sole discretion of Vestrend. Submission of an application does not guarantee acceptance.

4.4 Restricted Access

Vestrend reserves the right to deny, suspend, or terminate access to the Platform where:

• the User does not satisfy the eligibility requirements;
• false or misleading information has been provided;
• the User has previously violated these Terms;
• the User's activities may expose Vestrend, other Users, or third parties to legal, financial, or security risks.

5. User Accounts

5.1 Account Registration

Certain features of the Platform require Users to create an Account.

During registration, Users must provide accurate, complete, and current information as requested by the Platform.

Users are responsible for ensuring that their registration information remains accurate and up to date throughout their use of the Platform.

Vestrend reserves the right to reject any registration request or require additional verification where reasonably necessary.

5.2 Account Security

Each User is responsible for maintaining the confidentiality of their login credentials, including their password and any authentication methods associated with their Account.

Users agree to:

• choose a secure password;
• keep their login credentials confidential;
• not share their Account with another person;
• notify Vestrend immediately of any suspected unauthorized access or security breach.

Any activity conducted through a User's Account shall be deemed to have been performed by that User unless proven otherwise.

5.3 Accuracy of Information

Users must ensure that all information provided to Vestrend remains accurate, complete, and current.

This includes, where applicable:

• full name;
• telephone number;
• delivery address;
• email address;
• business information;
• product information;
• payment information, if applicable.

Providing false, inaccurate, or misleading information may result in suspension or termination of the Account.

5.4 One Account Per User

Unless expressly authorized by Vestrend, each User may maintain only one active Account. Creating multiple Accounts to circumvent restrictions, exploit promotions, manipulate ratings, or otherwise misuse the Platform is prohibited.

5.5 Account Verification

Vestrend may verify the identity of any User at any time.

Verification may require the submission of official identification documents, business documentation, or any other information reasonably necessary to confirm a User's identity or eligibility.

Failure to complete verification may result in limited access to certain Platform features or suspension of the Account.

5.6 Account Suspension

Vestrend may temporarily suspend an Account where it reasonably believes that:

• these Terms have been violated;
• fraudulent activity has occurred;
• unauthorized access is suspected;
• required verification has not been completed;
• continued use of the Account may pose a security, legal, or operational risk.

Whenever reasonably possible, Vestrend will notify the affected User of the suspension and, where appropriate, provide an opportunity to resolve the issue.

5.7 Account Termination

A User may request the closure of their Account at any time, subject to any outstanding obligations, pending Orders, disputes, or legal requirements.

Vestrend may permanently terminate an Account where:

• repeated or serious violations of these Terms occur;
• fraudulent or unlawful activity is identified;
• the Account is used in a manner that harms the Platform or other Users;
• the User repeatedly abuses Platform services.

Termination of an Account does not relieve the User of any obligations or liabilities that arose prior to the termination.

5.8 Account Deletion and Data Retention

Following the closure or termination of an Account, Vestrend may retain certain information where required to:

• comply with applicable laws and regulations;
• resolve disputes;
• enforce these Terms;
• prevent fraud or abuse;
• maintain legitimate business records.

Retention of such information shall be carried out in accordance with applicable legal requirements and Vestrend's Privacy Policy.

6. Unacceptable Use

All Users agree to use the Platform in a lawful, responsible, and respectful manner.

Users shall not:

• violate any applicable law or regulation;
• provide false or misleading information;
• impersonate another individual or organization;
• create fake Accounts;
• place fraudulent or fictitious Orders;
• interfere with the operation or security of the Platform;
• attempt to gain unauthorized access to the Platform, its systems, or other User Accounts;
• introduce viruses, malware, or other harmful software;
• scrape, copy, or harvest data from the Platform without authorization;
• manipulate ratings, reviews, or product listings;
• infringe upon the intellectual property rights of Vestrend or any third party;
• use the Platform for unlawful, fraudulent, abusive, or deceptive purposes.

Users remain solely responsible for all activities conducted through their Accounts. Violation of this Section may result in suspension or permanent termination of the User's Account and may also expose the User to civil or criminal liability under applicable law.

7. Consumer Terms

7.1 Browsing the Platform

Consumers may browse products available on the Platform without creating an Account, except where certain features require authentication.

Product availability, pricing, descriptions, images, and other information are provided by the respective Seller. While Vestrend strives to maintain a reliable marketplace, it does not independently verify every product listing and cannot guarantee that all information is complete, accurate, or current at all times.

Consumers are encouraged to review product descriptions carefully before placing an Order.

7.2 Placing an Order

A Consumer may place an Order by selecting one or more Products and completing the checkout process through the Platform.

When placing an Order, the Consumer agrees that:

• all information provided is accurate and complete;
• the delivery address and contact information are correct;
• they intend to purchase the selected Products;
• they will be available to receive the Order or arrange for an authorized recipient to do so.

Submitting an Order constitutes an offer to purchase the selected Products from the Seller.

7.3 Order Acceptance

After an Order is placed, it is transmitted to the relevant Seller for review and fulfillment.

Submission of an Order does not automatically guarantee acceptance. An Order may be accepted, rejected, or cancelled by the Seller for reasons including, but not limited to:

• Product unavailability;
• Pricing errors;
• Suspected fraudulent activity;
• Incomplete or incorrect delivery information;
• Operational limitations.

Where reasonably possible, Consumers will be notified of any rejected or cancelled Orders.

7.4 Consumer Responsibilities

Consumers agree to:

• provide truthful and accurate information;
• respond to communications regarding their Orders when reasonably necessary;
• receive the Order at the agreed delivery location;
• inspect the Order upon delivery where permitted;
• make payment upon delivery in accordance with these Terms;
• use the Platform responsibly and in good faith.

Consumers shall not repeatedly place Orders without the intention of accepting delivery. Repeated refusal of Orders without legitimate reason may result in temporary or permanent restrictions on the Consumer's Account.

8. Orders

8.1 Order Processing

Once an Order has been accepted by the Seller, the Seller is responsible for preparing the Products for shipment.

The Platform may provide status updates throughout the fulfillment process for informational purposes. Such updates are based on information received from the Seller and the Delivery Partner.

8.2 Order Status

The status of an Order displayed within the Platform reflects information made available by the Seller and/or the Delivery Partner.

Although Vestrend aims to provide timely updates, delays or discrepancies in status information may occasionally occur.

Displayed Order statuses should therefore be considered informational and may not always represent real-time operational events.

8.3 Order Modification

Once an Order has been submitted, modification may not be possible depending on its processing stage.

Consumers wishing to modify an Order should contact the Seller or use any available Platform functionality as soon as possible.

Modification requests are subject to Seller approval and operational feasibility.

8.4 Order Cancellation

Consumers may request cancellation of an Order before it has entered the delivery process.

Once an Order has been transferred to the Delivery Partner or is already in transit, cancellation may no longer be possible.

The Seller reserves the right to approve or reject cancellation requests based on the processing stage of the Order.

Repeated cancellations or abusive ordering behavior may result in restrictions on the Consumer's Account.

9. Payment

9.1 Payment Method

At the time these Terms become effective, Orders placed through the Platform are payable exclusively through Cash on Delivery (COD).

Consumers are required to pay the total purchase amount directly to the Delivery Partner upon successful delivery of the Order.

Vestrend does not currently process online payments or store Consumers' payment card information.

9.2 Payment Obligation

By placing an Order, the Consumer agrees to pay the total amount displayed during checkout upon delivery of the Products.

Failure to complete payment upon delivery without a legitimate reason may constitute a violation of these Terms.

9.3 Future Payment Methods

Vestrend reserves the right to introduce additional payment methods, including electronic or digital payment solutions, at any time.

Any additional payment methods will be governed by these Terms and any supplementary policies that may apply.

10. Delivery

10.1 Delivery Process

To facilitate Order fulfillment, Vestrend integrates with one or more third-party Delivery Partners.

The general delivery workflow is as follows:

1. The Consumer places an Order through the Platform.
2. The Order is transmitted to the Seller.
3. The Seller prepares the Products.
4. The Order information is transmitted to the Delivery Partner.
5. The Delivery Partner collects and transports the Order.
6. The Consumer receives the Order.
7. Payment is collected upon delivery.

The Seller may monitor the progress of the delivery through the administrative tools provided by the Platform and update Order statuses where applicable.

10.2 Delivery Partners

Delivery services are performed by independent third-party logistics providers.

At the time these Terms become effective, Mystro Delivery is the primary Delivery Partner integrated with Vestrend.

Vestrend reserves the right to replace, add, or remove Delivery Partners at its discretion without requiring modification of these Terms.

10.3 Delivery Times

Estimated delivery times displayed on the Platform are provided for informational purposes only.

Actual delivery times may vary depending on factors including:

• destination;
• weather conditions;
• transportation issues;
• public holidays;
• operational constraints;
• circumstances beyond the reasonable control of Vestrend, the Seller, or the Delivery Partner.

Vestrend does not guarantee delivery within any specific timeframe unless expressly stated otherwise.

10.4 Delivery Failures

Delivery may fail for reasons including, but not limited to:

• incorrect delivery information;
• inability to contact the Consumer;
• absence of the Consumer at the delivery location;
• refusal of the Order without legitimate reason;
• circumstances beyond the reasonable control of the Delivery Partner.

Where a delivery cannot be completed, the Seller or Delivery Partner may attempt additional delivery arrangements where operationally feasible.

10.5 Transfer of Responsibility

Responsibility for the Products transfers to the Consumer upon successful delivery and payment.

Consumers are encouraged to inspect the delivered Products before accepting the Order whenever reasonably possible.

10.6 Delivery Disclaimer

Vestrend facilitates the transmission of delivery information between Sellers and Delivery Partners but does not directly perform transportation or delivery services.

Accordingly, Vestrend shall not be responsible for delays, interruptions, failed deliveries, or other operational matters arising from the actions or omissions of the Delivery Partner, except where liability cannot be excluded under applicable law.

12. Intellectual Property

All intellectual property rights relating to the Platform, including but not limited to its software, source code, databases, design, logos, trademarks, graphics, text, functionality, and other content created or owned by Vestrend, remain the exclusive property of Vestrend or its licensors.

Nothing in these Terms grants any User ownership of or rights to Vestrend's intellectual property except for the limited right to use the Platform in accordance with these Terms.

Sellers retain ownership of the intellectual property associated with their own Products, trademarks, photographs, and Product descriptions. By uploading such content to the Platform, the Seller grants Vestrend a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt such content solely for the purpose of operating, promoting, and improving the Platform and its services.

Users shall not copy, reproduce, modify, distribute, reverse engineer, or otherwise exploit any part of the Platform except as expressly permitted by applicable law or with the prior written consent of Vestrend.

13. Platform Availability

13.1 Availability of the Platform

Vestrend makes reasonable efforts to ensure that the Platform remains available and operational. However, uninterrupted access to the Platform cannot be guaranteed.

Access to the Platform may be temporarily suspended, restricted, or interrupted due to maintenance, upgrades, technical issues, security concerns, or circumstances beyond Vestrend's reasonable control.

13.2 Maintenance and Updates

Vestrend may perform scheduled or unscheduled maintenance at any time to improve the Platform, address technical issues, enhance security, or introduce new features.

Where reasonably practicable, Vestrend may provide advance notice of scheduled maintenance. However, emergency maintenance may be performed without prior notice.

13.3 Platform Improvements

Vestrend continuously develops and improves its services and reserves the right to:

• add, modify, or remove features;
• introduce new services;
• discontinue existing services;
• update the user interface;
• improve security measures;
• modify technical requirements for accessing the Platform.

Such changes may be made without liability to Users, provided they do not violate applicable law.

14. Third-Party Services

The Platform relies on certain third-party services to provide its functionality.

These services may include, but are not limited to:

• delivery partners;
• cloud hosting providers;
• email providers;
• SMS notification services;
• mapping and location services;
• analytics providers;
• authentication providers;
• payment service providers, where applicable.

Vestrend does not own or control these third-party services and cannot guarantee their continuous availability, accuracy, security, or performance.

Any interruption, delay, or failure caused by a third-party service may affect the availability or functionality of the Platform.

To the fullest extent permitted by applicable law, Vestrend shall not be liable for losses or damages arising solely from the acts, omissions, failures, or interruptions of third-party service providers.

15. Disclaimers

15.1 Marketplace Role

Vestrend provides a digital marketplace that facilitates interactions between independent Sellers and Consumers.

Unless expressly stated otherwise, Vestrend is not:

• the manufacturer of Products;
• the importer of Products;
• the distributor of Products;
• the owner of Products;
• the retailer of Products.

The contract for the sale of a Product is entered into directly between the Seller and the Consumer.

15.2 Product Information

Product descriptions, specifications, prices, images, warranties, and availability are provided by the respective Sellers.

Although Vestrend may review listings for compliance with these Terms, it does not guarantee that Product information is complete, accurate, reliable, or free from errors.

Consumers are encouraged to carefully review Product information before placing an Order.

15.3 Product Quality

Vestrend does not inspect or test every Product offered through the Platform.

Accordingly, Vestrend does not guarantee:

• Product quality;
• Product safety;
• Product authenticity;
• Product suitability for a particular purpose;
• compliance of Products with Consumer expectations.

Such matters remain the sole responsibility of the Seller.

15.4 Delivery Services

Delivery services are provided by independent Delivery Partners. Vestrend does not control the transportation, handling, routing, or delivery of Orders and therefore cannot guarantee delivery times or delivery outcomes.

15.5 No Warranty

Except where prohibited by applicable law, the Platform is provided on an “as is” and “as available” basis.

• Vestrend makes no express or implied warranties regarding:
• uninterrupted operation;
• availability;
• accuracy;
• reliability;
• compatibility;
• error-free operation.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Vestrend shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

• the use or inability to use the Platform;
• Products sold by Sellers;
• inaccurate Product information;
• defective or counterfeit Products;
• delays or failures in delivery;
• cancellation of Orders;
• acts or omissions of Sellers;
• acts or omissions of Delivery Partners;
• unauthorized access to User Accounts resulting from a User's failure to protect their credentials;
• interruptions or failures of telecommunications, internet services, or third-party systems.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited under applicable law.

17. Indemnification

Each User agrees to indemnify, defend, and hold harmless Vestrend, its directors, officers, employees, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising from:

• the User's violation of these Terms;
• the User's violation of applicable laws or regulations;
• infringement of any third-party rights;
• fraudulent or unlawful activities;
• Products listed or sold by a Seller;
• any dispute between a Seller and a Consumer.

This obligation survives the termination of these Terms and the closure of the User's Account.

18. Suspension and Termination

18.1 Suspension by Vestrend

Vestrend may temporarily suspend access to the Platform where it reasonably believes that such action is necessary to:

• investigate suspected violations of these Terms;
• prevent fraud or abuse;
• protect other Users;
• comply with legal obligations;
• protect the security or integrity of the Platform.

18.2 Termination

Vestrend may permanently terminate a User Account where:

• serious or repeated violations of these Terms occur;
• fraudulent activity is identified;
• unlawful conduct is detected;
• the User repeatedly harms the Platform or other Users;
• the User fails to comply with obligations set out in these Terms.

For Sellers, repeated failure to pay commissions in accordance with Section 11.7 may also result in termination.

18.3 Effect of Termination

Termination of an Account shall not affect:

• rights accrued prior to termination;
• outstanding payment obligations;
• pending legal claims;
• provisions of these Terms intended to survive termination.

19. Changes to these Terms

Vestrend reserves the right to amend, modify, or update these Terms at any time.

Where changes materially affect Users' rights or obligations, Vestrend will make reasonable efforts to notify Users through the Platform, email, or other appropriate communication channels.

Continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the updated Terms.

If a User does not agree with the revised Terms, they must discontinue use of the Platform.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria.

Any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Algeria, unless otherwise required by applicable law.

Where permitted by law, the parties agree to make reasonable efforts to resolve disputes amicably before initiating legal proceedings.
